what's the difference between these 2 ecu's?

Black boxed one is a 98-99 and the other is a 97.

The 95-96 may look the same but always check the PN as the CAS signal is inverted from a 97-99 signal.
 
I believe they are interchangable without an issue, which is why you found a 98-99 in the 97, someone correct me if Im wrong.
 
There is not difference auto or manual when it comes to 2G turbo ECUs.
CAPS says the black MD346675 was used in 1998 model year FWD cars build between 7/97 and 5/98.
The older metal cased MD335287 was used in 1997 MY FWD cars built from 7/96 to 6/97.

As you have discovered they are largely interchangeable. I don't think there were any special engine changes between 97 and later but the plastic cased ECUs introduced in the 98 cars were a change to newer technology and cheaper to build.
