Help With Tranny Problems

Okay here's the deal. The tranny was replaced about two years ago by the previous owner. Here's the problem:

When I put it in drive today it started to make a weird noise, but nothing to outlandish, but when I took it out on the highway and tried to pass a semi it revved really high with out engaging in gear, when I let off it bucked and changed gears, this happened twice, so whenI got to work I popped the hood.

Everything seemed okay, but when I put it in neutral I heard a whining/grinding sound right under the intake tube, shifted to L, it almost stalled, 2nd was normal, neutral = whining and grinding.

Took it back out on the road, now it revs really high on acceleration without catching almost all the time, stopping it feels like it wants to keep going, then it almost stahls, could this be the stahl converter?

If so, what kinda damage am I looking at here on repairs?
