Need opinions on a trade!

Hey guys well today i went and looked at my older cousins 95 talon tsi. its automatic with 112000 miles and the body is good but the interior isnt that great. mainly just sagging headliner. BUT i have a 98 esi with a 5 speed and all power options cept leather interior . 105000 miles. it has a blown head gasket and the front bumper is a little crooked cause the person that owned it before me had a little bump up. its also a northern car with a little rust. but great interior. well i was talkin to him bout buyin it and he said that he would be willing to trade and i was wonderin what ya'll thought. he's straight up with me and he took me for a ride in it and it is pretty fast. Nothin really wrong with it and he said hed give me the bov he bought for it. but i would like some opinions. thanks. oh and how hard is a tranny swap cause im kinda fond of my 5 speed. i also have a good friend that works at the dodge dealership that has worked on cars his whole life so ive got some help. thanks.

Yeah man you shouldnt even be thinking about this, I still have my 95 gs 5-speed and i just bought my 95 gsx auto, the power difference between these cars are day and night, even if you go from 5-speed to auto.
