Grinding / Clicking Sound

OK where do I begin.....

My vehicle makes this, almost what it sounds to be, grinding sound that is coming from underneath the car. Then immediately after the grinding sound, it is followed by one or two clicks.


The only time these sounds occur is when I shift from either park, reverse, and drive; and whenever I stop somewhere. Whether it's stopping at a stoplight, stop sign, getting home from work, parking at a store, etc. What could possibly be wrong? If this sounds confusing I apologize, I described this the best I could.

Ok, I now have a soundclip of the noise that I am hearing. I want to attach it to this post to provide everyone with more detail but I can't attach it with my phone. What I can do is email it out. Please let me know if there is another way to attach it. This sound that car is making is really starting to aggrevate me.
 
It sounds like a problem with the transfer case, if it was my problem that's where I would look. Get it jacked up, look at the transfer case from the under side and check for leaks. Pull back the rubber boots too looking for any fluids.

As for the op, When is the last time you changed your tranny fluid?
 
To be honest, I have not changed the transmission fluid since I have gotten the vehicle back in October of 2010. I haven't even put 1,000 miles on the vehicle myself. Overall it almost has 135K and the fluid level is fine. Someone had told me it may be the automatic transmission cable loose? I haven't a clue.
