Its Weird, when i shift from 1st to 2nd gear, it grinds going into second. it doesnt grind in any other gear except when moving to 2nd. what may the problem be? could it be the syncronizers are messed up?

umm could be that 2nd gear is one of the worst gears on dsm's. it is probally your 2nd gear synchro's are wearing out. either buy a used jdm tranny off dsmtrader or get yours rebuilt or do both :)

for rebuilding i recommend shepracing trannies. the best bang for the buck. if he can run nines on the same tranny you probally can too (if you know how to shift properly).
 
You can try changing transmission lube, that may help enough. But we're not telling you anything more until you tell us about what car you have. Fill out your user profile.

With that mileage, it's probably just that the synchros are worn out. No telling who all thought they were at LeMans with it in the past. For the $14, try some Pennzoil Synchromesh (same as GM), it may help a fair bit.
When making the 1-2 shift, get the knack of bringing it into gear with your wrist instead of your arm- bring it near to gear, then kind of tickle it the rest of the way in so those weak synchros can get a grip. Otherwise, it's rebuild time, kind of a folly on that old an engine.
